Item 1: Introduction

Auranser Inc. is registered with the Securities and Exchange Commission (SEC) as an investment adviser.¹ Brokerage and investment advisory services and fees differ, and it is important for you to understand the differences. Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS, which also provides educational materials about broker-dealers, investment advisers, and investing.

Item 2: Relationships and Services

What investment services and advice can you provide me?

We offer algorithmic investment advisory services to retail investors through the Auranser digital platform ("Platform"). Our advisory services are delivered primarily through an automated algorithm that selects and manages a diversified portfolio of exchange-traded funds (ETFs) and, where appropriate, individual securities, based on your stated investment objectives, risk tolerance, and time horizon. We do not assign human portfolio managers to individual client accounts. Investment decisions are generated by our algorithm and executed automatically through our custodian, Alpaca Securities LLC, a registered broker-dealer and FINRA/SIPC member.

We offer both discretionary (we place trades without prior approval) and non-discretionary (you approve each trade) advisory services. There is no minimum account size. An active platform subscription is required to open an investment account; see the fee section below.

Our algorithm periodically monitors, typically at least monthly or when market conditions warrant. You receive performance reports through the Platform and account statements from the custodian at least quarterly.

Item 3: Fees, Costs, Conflicts, and Standard of Conduct

What fees will I pay?

You pay two types of ongoing fees: a platform subscription and an asset-based advisory fee.

Platform subscription: $9.99 per month or $99.99 per year, billed to your payment method on file. The annual option provides a reduced rate compared to monthly billing ($99.99 vs. $119.88 annually). An active subscription is required to receive investment advice from us. If you cancel your subscription, your existing positions remain with the custodian and you may liquidate your account or transfer to another broker at any time.

Advisory fee: 0.10% of assets under management on an annualized basis, billed monthly in arrears. The advisory fee is a wrap fee covering investment advisory services, portfolio management, algorithmic rebalancing, and trade execution through the custodian (commission-free trading).

Other costs: ETFs held in your portfolio have internal expenses (expense ratios) that are separate from the advisory fee. These are charged by the fund issuer, not by Auranser, and are disclosed in each fund's prospectus.

The more assets in your account, the more you will pay in fees, and we therefore have an incentive to encourage you to increase your account balance.

You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.

When we act as your investment adviser, we have to act in your best interest and not put our interests ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. Here are some examples to help you understand what this means:

  • Platform subscription revenue: We require a platform subscription for investment account access, which creates an incentive to retain subscribers. Our incentive structures (including referral programs, affiliate rewards, and distribution partner compensation) are built around platform subscription acquisition and engagement, not conversion of investment advisory relationships. These platform functions are governed by the Master User Agreement and Website Terms of Service, not this advisory relationship.

Our employees are paid a salary with no sales-based or commission compensation. Performance-based components are tied to overall company performance, not to individual client account performance or assets gathered.
